Terms and Conditions
Effective Date: 10 June 2026
These Terms and Conditions govern all services provided by ENPEE Project Solutions ("ENPEE", "Company", "we", "our", or "us") to its clients ("Client", "you", or "your"). By accepting a quotation, purchase order, service agreement, or engaging our services, you agree to be bound by these Terms and Conditions. The structure below follows common South African service-contract practices and includes provisions on services, payment, liability, confidentiality, and dispute resolution.
1. Definitions
Services means any consulting, project management, labour supply, maintenance, logistics support, infrastructure support, facilities management, engineering support, or related services provided by ENPEE.
Agreement means these Terms and Conditions together with any quotation, proposal, service level agreement, or purchase order.
Business Day means any day excluding Saturdays, Sundays, and South African public holidays.
2. Scope of Services
2.1 ENPEE shall provide services as specified in the approved quotation, proposal, contract, or service agreement.
2.2 Any additional work requested by the Client outside the agreed scope may result in additional charges.
2.3 ENPEE reserves the right to subcontract portions of the work where necessary while remaining responsible for service delivery.
3. Quotations and Acceptance
3.1 All quotations remain valid for thirty (30) days unless otherwise stated.
3.2 A quotation is deemed accepted when:
The Client signs the quotation;
A purchase order is issued; or
The Client instructs ENPEE to commence work.
3.3 Accepted quotations become binding agreements.
4. Pricing and Payment
4.1 All prices are quoted in South African Rand (ZAR) unless otherwise stated.
4.2 Invoices shall be payable within thirty (30) days from the invoice date unless alternative terms are agreed in writing.
4.3 ENPEE reserves the right to suspend services for overdue accounts.
4.4 Interest may be charged on overdue amounts at the maximum rate permitted by South African law.
4.5 The Client shall remain responsible for all reasonable legal and collection costs incurred in recovering unpaid amounts.
5. Client Responsibilities
The Client agrees to:
Provide accurate information required for service delivery.
Grant access to facilities, sites, systems, or equipment where necessary.
Ensure a safe working environment for ENPEE personnel.
Appoint an authorized representative for project communication and approvals.
Delays caused by the Client may result in revised timelines and additional costs.
6. Service Delivery
6.1 ENPEE shall perform services with reasonable skill, care, and diligence consistent with industry standards.
6.2 Delivery dates and project schedules are estimates unless expressly agreed otherwise.
6.3 ENPEE shall not be liable for delays caused by factors beyond its reasonable control.
7. Health, Safety and Compliance
7.1 All personnel shall comply with applicable South African health, safety, environmental, and labour legislation.
7.2 The Client shall ensure compliance with site-specific safety requirements and regulations.
8. Confidentiality
8.1 Both parties shall keep confidential all proprietary, technical, commercial, and business information obtained during the course of the relationship.
8.2 Confidential information shall not be disclosed to third parties without prior written consent unless required by law.
8.3 This obligation survives termination of the Agreement.
9. Intellectual Property
9.1 All methodologies, templates, reports, processes, and materials developed by ENPEE remain the intellectual property of ENPEE unless otherwise agreed in writing.
9.2 Upon full payment, the Client shall receive the agreed rights to use deliverables produced specifically for the Client.
10. Limitation of Liability
10.1 ENPEE shall not be liable for indirect, consequential, special, or incidental damages.
10.2 ENPEE's total liability arising from any claim shall not exceed the total fees paid by the Client for the specific services giving rise to the claim.
10.3 The Client indemnifies ENPEE against claims arising from the Client's negligence, misconduct, or breach of these Terms.
11. Force Majeure
ENPEE shall not be liable for any failure or delay caused by events beyond its reasonable control, including:
Natural disasters;
Strikes;
Civil unrest;
Government actions;
Utility failures;
Pandemics; or
Other unforeseen circumstances.
12. Termination
12.1 Either party may terminate the Agreement by providing thirty (30) days written notice unless otherwise agreed.
12.2 ENPEE may terminate the Agreement immediately if:
The Client breaches these Terms;
Payment remains outstanding beyond agreed terms; or
The Client becomes insolvent.
12.3 The Client shall remain liable for all services rendered and expenses incurred up to the termination date.
13. Dispute Resolution
13.1 The parties shall first attempt to resolve disputes through good-faith negotiation.
13.2 If unresolved, the dispute may be referred to mediation.
13.3 If mediation fails, the dispute shall be resolved by arbitration or a court of competent jurisdiction within South Africa.
14. Governing Law
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa.
15. General
15.1 No amendment to these Terms shall be valid unless made in writing and signed by both parties.
15.2 If any provision is found invalid, the remaining provisions shall remain in force.
15.3 These Terms constitute the entire agreement between the parties unless supplemented by a separate written contract.
